Master Coal Purchase and Sale Agreement

Standardized coal trade agreements, such as the Coal Trading Association`s 2010 Coal Purchase and Sale Framework Contract, also prescribe a specified approach in BTU per pound (see Appendix D). As of the effective date, Vitol and Patriot were parties to the Designated Coal Purchase and Sale Agreement dated September 8, 2011 (the “Agreement”), under which Patriot sells coal to Vitol. In particular, multi-site reviews, legal considerations and liability concerns are paramount to a coordinated approach. These confirmation supplements form part of the Framework Contract for the Purchase and Sale of Coal of __, in the Framework Coal Framework Contract then in force and supplemented from time to time (the “Framework Contract”) between the seller and the buyer.
